These Terms of Use ("Terms") govern access to and use of the Senova Accounting Adapter (the "Application"), a software application operated by Senova CPA Inc. ("Senova", "we", "us"), a chartered professional accounting firm located in Vancouver, British Columbia, Canada.
The Application is an internal automation tool built and operated by Senova CPA Inc. for its own professional use. It is not offered, sold, sublicensed, or distributed to the public or to any third party, and it is not listed on any application marketplace. Access is restricted to Senova CPA Inc. and its authorized personnel and is protected by authentication controls.
Subject to these Terms, Senova grants its authorized personnel a limited, non-exclusive, non-transferable, revocable licence to use the Application solely for the firm's internal bookkeeping and accounting workflows. Any use of the Application to access a client's accounting records is performed under, and subject to, the firm's existing professional engagement with that client and the firm's authorized QuickBooks Online Accountant relationship.
The Application connects to Intuit QuickBooks Online through Intuit's authorized API using the OAuth 2.0 protocol. It accesses accounting data only, under the com.intuit.quickbooks.accounting scope. This includes vendors and customers, the chart of accounts, products and services, tax codes, bills, vendor credits, invoices, journal entries, recorded bill payments and customer receipts, bank deposits and transfers between accounts, financial reports, and supporting documents.
The Application does not access payroll data, and it does not access bank-feed data: transactions awaiting review or excluded in QuickBooks Online's banking screens are not exposed by Intuit's API and are outside the Application's reach.
The Application does not move money. It records payment, deposit and transfer transactions in the QuickBooks ledger, which is a bookkeeping entry describing a movement that has been or will be made. It holds no banking credentials, has no connection to any financial institution, and cannot initiate, authorize, or settle a payment or transfer of funds.
Authorization can be revoked at any time by disconnecting the Application, either from within QuickBooks Online or via the Application's disconnect page.
The Application reads and writes accounting transactions in QuickBooks Online and does not retain QuickBooks business data at rest. It maintains only an operational audit log and a duplicate-prevention index. Every transaction it writes is recorded in that audit log, and every posting verb is guarded against duplication so that a repeated instruction returns the existing transaction rather than creating a second one. Personal information is handled in accordance with the Senova CPA Inc. Privacy Policy.
The Application is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Senova does not warrant that the Application will be uninterrupted, error-free, or free of harmful components.
To the fullest extent permitted by applicable law, Senova CPA Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of, or inability to use, the Application.

We may update these Terms from time to time. The version published at this URL, bearing the effective date above, is the current version.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
