Terms of Use / End User License Agreement

These Terms of Use ("Terms") govern access to and use of the Senova Accounting Adapter (the "Application"), a software application operated by Senova CPA Inc. ("Senova", "we", "us"), a chartered professional accounting firm located in Vancouver, British Columbia, Canada.

1Internal-use application

The Application is an internal automation tool built and operated by Senova CPA Inc. for its own professional use. It is not offered, sold, sublicensed, or distributed to the public or to any third party, and it is not listed on any application marketplace. Access is restricted to Senova CPA Inc. and its authorized personnel and is protected by authentication controls.

2Licence and permitted use

Subject to these Terms, Senova grants its authorized personnel a limited, non-exclusive, non-transferable, revocable licence to use the Application solely for the firm's internal bookkeeping and accounting workflows. Any use of the Application to access a client's accounting records is performed under, and subject to, the firm's existing professional engagement with that client and the firm's authorized QuickBooks Online Accountant relationship.

3QuickBooks Online integration

The Application connects to Intuit QuickBooks Online through Intuit's authorized API using the OAuth 2.0 protocol. It accesses accounting data only, including vendors, chart of accounts, tax codes, bills, vendor credits, and supporting documents, under the com.intuit.quickbooks.accounting scope. The Application does not access banking, payments, or payroll data, and it does not perform any movement of funds. Authorization can be revoked at any time by disconnecting the Application, either from within QuickBooks Online or via the Application's disconnect page.

4Data handling

The Application writes accounting transactions into QuickBooks Online and does not retain QuickBooks business data at rest. It maintains only an operational audit log and a duplicate-prevention index. Personal information is handled in accordance with the Senova CPA Inc. Privacy Policy.

5No warranty

The Application is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Senova does not warrant that the Application will be uninterrupted, error-free, or free of harmful components.

6Limitation of liability

To the fullest extent permitted by applicable law, Senova CPA Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of, or inability to use, the Application.

7Relationship to Intuit

Senova CPA Inc. is an independent firm and is not endorsed by, sponsored by, or affiliated with Intuit Inc. QuickBooks and QuickBooks Online are trademarks of Intuit Inc., used here for identification purposes only.

8Changes to these Terms

We may update these Terms from time to time. The version published at this URL, bearing the effective date above, is the current version.

9Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
